End-User License Agreement (EULA)

This End-User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User”, “you”) and Mod Solutions d.o.o. (“Company”, “we”, “us”, or “our”) governing the use of the Company’s software.

By downloading, installing, accessing, or using the software, you agree to be bound by this Agreement.

2. License Grant

The Company grants the User a limited, non-exclusive, non-transferable, revocable license to use the software solely for its intended purpose, subject to this Agreement.

No ownership rights are transferred. The software is licensed, not sold.

3. Permitted Use

The User may:

  • install and use the software on systems they own or control

  • use the software for automotive analysis, tuning, or related lawful purposes

  • use the software only in accordance with applicable laws

4. Restrictions

The User shall not:

  • copy, modify, adapt, or create derivative works of the software

  • reverse engineer, decompile, or disassemble the software

  • bypass license, activation, or security mechanisms

  • rent, lease, sublicense, sell, or distribute the software

  • use the software for illegal, unauthorized, or infringing purposes

5. Intended Use & Legal Compliance

Unless explicitly stated otherwise in writing:

  • the software is intended for off-road, motorsport, testing, research, or export use only

The User is solely responsible for ensuring compliance with:

  • vehicle regulations

  • emissions laws

  • software usage laws in their jurisdiction

The Company does not guarantee legality for public road use.

6. Updates and Support

  • Updates may be provided at the Company’s discretion

  • The Company is not obligated to provide maintenance or support unless agreed separately

  • Updates may change or remove features

7. Intellectual Property

The software, including all source code, object code, graphics, and documentation, is the exclusive intellectual property of the Company.

All rights not expressly granted are reserved.

8. No Warranty

The software is provided “as is” and “as available”.

To the maximum extent permitted by law, the Company disclaims all warranties, including:

  • merchantability

  • fitness for a particular purpose

  • non-infringement

  • uninterrupted or error-free operation

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

  • vehicle or ECU damage

  • data loss

  • system failures

  • loss of profit or business interruption

  • indirect, incidental, or consequential damages

Total liability is limited to the amount paid for the software license.

10. Termination

This Agreement remains effective until terminated.

The Company may terminate this Agreement immediately if the User:

  • violates this Agreement

  • abuses the software or licensing system

  • engages in illegal or unauthorized use

Upon termination, the User must cease all use and delete all copies of the software.

11. Refunds

Refunds are governed exclusively by the Company’s Refund Policy.

12. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of Croatia.

Exclusive jurisdiction lies with the competent court in Zadar, Croatia, unless mandatory consumer laws apply.

13. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between the User and the Company regarding the software and supersedes all prior agreements.
